Elysium Management Company Membership Packages

1. Introduction

These Terms & Conditions (“Agreement”) govern the purchase and use of membership packages offered by Elysium Management Company (“Elysium,” “Company,” “we,” “our,” or “us”).

By purchasing a Silver, Gold, or Platinum package (“Membership Package”), you (“Member,” “you,” or “Purchaser”) agree to be legally bound by this Agreement.

If you do not agree with these Terms, you should not purchase a Membership Package.

2. Nature of Membership

Elysium Membership Packages provide:

  • Access to lifestyle benefits across Elysium’s business sectors:

    • Aviation

    • Automotive

    • Marine

    • Real Estate

    • Renewable Green Energy

  • Allocation of non-voting equity shares (subject to eligibility and applicable law)

Membership is not a deposit account, savings product, or guaranteed return contract.

3. Membership Packages & Pricing

The Company offers three tiers:

  • Silver – $1,500 USD

  • Gold – $2,200 USD

  • Platinum – $3,900 USD

All prices are listed in U.S. Dollars unless otherwise stated.

Elysium reserves the right to modify pricing for future purchasers at any time. Pricing changes do not affect completed purchases.

4. Activation of Benefits

Membership benefits:

  • Become active according to the onboarding schedule provided after purchase.

  • May vary based on geographic availability.

  • May depend on Elysium-operated infrastructure or third-party partner participation.

Elysium does not guarantee immediate availability of all benefits in every region.

5. Aviation, Automotive, Marine, Real Estate & Energy Benefits

Benefits may include discounts, access programs, or preferred pricing structures.

Important:

  • Benefits are subject to availability.

  • Availability may vary by country.

  • Certain services may be operated by affiliated entities or third-party providers.

  • Elysium reserves the right to modify, suspend, or replace specific benefits at its discretion, provided overall membership value remains commercially reasonable.

No specific travel routes, cruise sailings, properties, fuel prices, or installation timelines are guaranteed unless separately contracted.

6. Equity Participation

6.1 Share Allocation

Membership Packages include allocation of non-voting shares in Elysium Management Company.

  • Share issuance price: $0.25 USD per share

  • Share allocation amount varies by package tier

  • Shares are issued subject to applicable securities laws

6.2 Lock-Up Period

Shares are subject to a mandatory four (4) year holding period from the date of issuance.

During this period:

  • Shares may not be sold, transferred, pledged, or assigned.

  • No secondary market is guaranteed.

6.3 No Guarantee of Liquidity or IPO

Elysium may pursue a future public listing (IPO); however:

  • An IPO is not guaranteed.

  • Timing of any IPO is uncertain.

  • Listing approval is subject to regulatory authorities.

  • Future share value cannot be predicted or guaranteed.

Purchasers acknowledge that equity participation involves risk.

7. Risk Acknowledgment

By purchasing a Membership Package, you acknowledge:

  • Equity ownership carries financial risk.

  • Company performance may vary.

  • Regulatory, economic, and market conditions may impact operations.

  • Benefits may evolve over time as the Company grows.

You are encouraged to consult independent financial and legal advisors before purchasing.

8. Refund Policy

Unless otherwise stated in writing:

  • Membership purchases are non-refundable.

  • Equity allocations cannot be rescinded once issued.

  • Refund exceptions, if any, are at the sole discretion of Elysium.

9. Transferability of Membership

Membership benefits are:

  • Non-transferable unless explicitly authorized in writing.

  • Intended for use by the registered Member only.

The Company may offer future transfer or upgrade programs at its discretion.

10. Compliance with Laws

Members are responsible for:

  • Ensuring participation is lawful in their jurisdiction.

  • Complying with local tax obligations related to share ownership.

  • Providing accurate identification and KYC documentation if required.

Elysium reserves the right to refuse membership where prohibited by law.

12. Limitation of Liability

To the maximum extent permitted by law:

Elysium Management Company shall not be liable for:

  • Indirect or consequential damages

  • Loss of profits

  • Travel disruptions

  • Third-party service failures

  • Regulatory delays

Total liability shall not exceed the amount paid for the Membership Package.

13. Modifications to Terms

Elysium reserves the right to amend these Terms & Conditions at any time.

Updated Terms will be posted on the Company website with a revised effective date.

Continued participation constitutes acceptance of updated Terms.

14. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of:

Any disputes shall be resolved in the courts of that jurisdiction.
